1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the website, content, and online services operated by or on behalf of Onruyl (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. The Services

Onruyl provides information about our software engineering, AI-related services, and related offerings through this Site. Descriptions of services on the Site are illustrative and do not constitute a binding offer unless and until confirmed in a separate written agreement (such as a statement of work, order form, or master services agreement).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONRUYL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US (IF ANY) FOR ACCESS TO THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) INDIAN RUPEES FIVE THOUSAND (INR 5,000), EXCEPT WHERE PROHIBITED BY LAW.

Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted by law.

10. Indemnity

You agree to defend, indemnify, and hold harmless Onruyl and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to these Terms

We may revise these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated through the Site or by other reasonable means where appropriate. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

13. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to mandatory provisions of law, you agree that the courts located in Tamil Nadu, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where applicable law requires otherwise.

Before initiating any formal proceeding, you agree to contact us at the email below and attempt to resolve the dispute in good faith for at least thirty (30) days.

14. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Onruyl regarding the subject matter hereof.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
